In accordance
with Article 16. of the Rules for Tender Sale (“Official Gazette
of Republic of Srpska”, No.: 97/06), Directorate for Privatization
(hereinafter: “The Directorate”) hereby issues a:

participation in an International Tender (Tender Code: BL-V-
83/1) for the sale of state owned capital in:
Akcionarsko
društvo Centar za unapređenje
poljoprivrede Sokolac
1. The Directorate
offers for sale 65,000005% of the equity in the company AD Centar
za unapređenje poljoprivrede Sokolac (hereinafter: the Company),
to a strategic partner who will undertake the future development
of the Company.

3. Detailed information
about the Company and other information necessary for Tender
participation is contained in Tender Documentation and will
be provided to all interested parties after signing a form “Confirmation
of Interest and Confidentiality Agreement” and payment of a
non refundable fee in an amount of KM 3.000,00 (in writing:
KM three thousand) for the Tender Documentation (hereinafter:
“the fee”).

4. Any interested party meeting the following qualification
criteria will be eligible to bid:
- Achieved annual total income of at least KM 1.000.000,00
(in writing: KM one million), in each of the last two business
years (the last business year is consider to be year 2005)
Two or more entities can not execute a joint participation
in the Tender.
Physical and legal entities or legal entity’s founders
who, prior to the bid submission date, have overdue outstanding
liabilities toward the object of sale shall
not be eligible to participate in the Tender.
5. By submitting a bid, the bidder accepts the following conditions
of the Tender:
- to maintain the core activity of the Company
for 10 (in writing: ten) year period after the privatisation,
- to maintain the present number of employees of
the Company for 5 (in writing: five) year period after the privatisation.
6. Bid evaluation elements of the Tender are: sales price,
investments, employment plan and bidders’ qualification criteria.
7. Bids shall be submitted directly to the Directorate by March
22, 2007 at 3:00 p.m., at the latest. The Directorate retains
the right to extend the deadline.
Public opening of the envelopes bearing
the mark with "Bid" and "Supporting Documentation"
shall be conducted at the premises of
Directorate, on March 22, 2007, commencing at 4:00 p.m., with
an aim of disclosing bidders' identity.
8. Bidder is under obligation to guarantee a bid to the Directorate
in the amount of KM 200.000,00 (in writing: KM two hundred
thousand). The bid is guaranteed with the payment of a cash
deposit or the submission of an irrevocable, unconditional
bank guarantee, collectable on the first request, issued by
a bank acceptable to the Directorate. The detailed
instructions are provided in the Tender Documentation.
9. The Directorate hereby invites all interested parties to
submit a written request for purchasing of Tender Documentation:
directly in the Directorate, by post, fax or e-mail and display
the reference: “Request for purchasing of
Tender documentation – Tender code BL-V-83/1” clearly. Immediately,
upon receipt of the request, the Directorate
will forward the interested party the “Confirmation of Interest
and Confidentiality Agreement” form for signature.
The Directorate will not sell the Tender
Documentation to the Interested Party, if the request for purchasing
is not submitted 7 (in writing: seven)
days before bid submission deadline, at the latest.
10. Upon receipt of the signed “Confirmation of Interest and
Confidentiality Agreement” form and clear evidence of payment
of the Tender Documentation fee, the Directorate will issue
the Tender Documentation to the Bidder or hand
it to any person authorized by the Bidder, or send it by post.
The Directorate shall not be held liable
for any loss or delay that may occur in delivering the Tender
Documentation.
