On the basis of Article 98 of the Rules for Tender Sale ("Official Gazette of the Republic of Srpska", number 112/03), and for the purpose of making a public announcement of the Tender results upon conclusion of the Contract, the Directorate for Privatization issues the following:

 

A N N O U N C E M E N T

On Results of the Tender with Variable Terms under the code BL-V-80/1 for sale of the state-owned capital in the enterprise "Telekom Srpske" a.d. Banja Luka

 

Following determination of the Tender results, acceptance of the Bid and declaration of the Tender winner, the Contract on Sale of the State-Owned Capital was concluded on 19 January 2007.

The subject-matter of the sale is 65.005851% of the total of the capital of the Enterprise "Telekom Srpske" a.d. Banja Luka (hereinafter: the Enterprise). Registration number: 1772902, code and name of the core activity: 64200 – telecommunications.

 

The buyer is Telekom Srbija a.d. Beograd, with the seat in Belgrade, Takovska Street, No 2..

The Buyer is committed to fulfilling the following contractual obligations:

 

- Payment of the price amounting to 646,000,000.00 EURO,
- Making investments in the amount equivalent to 50,000,000.00 EURO within one year following the Closing Date,
- Maintaining the core activity of the Enterprise for a period of at least 5 years following the Closing Date,
- Adhering to the Collective Agreement signed between the Enterprise and its Trade Union, on
 15 March 2004, with amendments as of 28 April 2006 for a period of at least 5 years following the Closing Date,
- Permanently keeping the registered Enterprise seat in Banja Luka;
- Complying with the Agreement between the Government of the Republic of Srpska and the Enterprise, on inalienable   right of the Government of the Republic of Srpska to use the Enterprise's telecommunications infrastructure,
- Voting for a decision on distribution of profit for the 2006 business year at the Shareholders' Assembly of the   Enterprise, in such manner that the total profit, upon earmarking into reserves stipulated by the Law, is paid out to   the shareholders as dividend, with a part of the dividend belonging to the owner of the capital which is the subject of   sale in the Tender, and referring to the period prior to the Closing Date, is paid to the Government of the Republic of   Srpska.
